These Terms & Conditions (“Terms”) govern your access to and use of the Mentionpath website, platform, software, and related services (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. About Mentionpath
Mentionpath is a trading name of Conscious Ventures Ltd (“Mentionpath”, “we”, “us”, or “our”), a company registered in England and Wales under company number 13189124.

2. Who these Terms apply to
Mentionpath is primarily designed for business and professional use. Individuals may also use the Services, but by doing so you confirm that:
- you are at least 18 years old;
- you have legal capacity to enter into these Terms; and
- if you are acting on behalf of a company, organisation, or other entity, you have authority to bind that entity to these Terms.
If you use the Services on behalf of an entity, references to “you” and “your” include that entity.
3. The Services
Mentionpath provides software and related tools designed to help users understand, monitor, and improve visibility across AI systems, search environments, and answer engines. Depending on your plan and product configuration, the Services may include:
- prompt and brand visibility tracking;
- citation and source monitoring;
- website auditing and analysis;
- AI-assisted content recommendations or generation;
- reporting and analytics;
- workflow and collaboration features; and
- integrations with third-party tools and platforms.
We may update, improve, change, suspend, or discontinue parts of the Services from time to time, provided that we do not materially remove the core functionality of an active paid subscription without reasonable notice.
4. Account registration and security
To access certain features, you may need to create an account. You agree to:
- provide accurate, current, and complete information;
- keep your account information updated;
- keep your login credentials secure and confidential;
- ensure that only authorised persons access your account; and
- notify us promptly at hello@mentionpath.ai if you suspect unauthorised access or misuse.
You are responsible for all activity that takes place under your account, whether by you or by someone using your credentials.
5. Acceptable use
You may use the Services only in compliance with applicable law and these Terms. You must not, and must not permit any third party to:
- use the Services for any unlawful, fraudulent, deceptive, or abusive purpose;
- upload or submit content that infringes intellectual property, privacy, confidentiality, or other rights of any person;
- input personal data, confidential data, or regulated data unless you have all necessary rights, permissions, and legal bases to do so;
- upload malware, malicious code, or harmful material;
- interfere with, disrupt, or compromise the integrity or security of the Services;
- attempt to gain unauthorised access to the Services or related systems;
- reverse engineer, decompile, disassemble, or attempt to derive source code, models, or underlying methods from the Services, except where such restriction is prohibited by law;
- use the Services to build, benchmark, train, or support a competing service or product;
- resell, sublicense, lease, or provide the Services to unauthorised third parties unless expressly agreed in writing; or
- remove or obscure proprietary notices or branding.
We may suspend or restrict access to the Services if we reasonably believe that you have breached these Terms.
6. AI features and output
Some parts of the Services may use artificial intelligence, machine learning, or third-party model providers. You acknowledge and agree that:
- outputs generated by the Services may be incomplete, inaccurate, outdated, biased, or unsuitable for your intended use;
- outputs may not be unique;
- AI-generated recommendations, drafts, analyses, or insights should be reviewed by a human before publication, implementation, or reliance; and
- Mentionpath does not provide legal, financial, tax, accounting, compliance, medical, or other regulated professional advice.
You remain solely responsible for how you use any output from the Services.
7. Customer data
7.1 Your data
As between you and us, you retain ownership of the data, prompts, files, URLs, content, instructions, and other materials you upload, connect, submit, or otherwise make available through the Services (“Customer Data”).
7.2 Licence to use Customer Data
You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to:
- provide the Services;
- maintain, secure, and support the Services;
- prevent fraud, abuse, and security threats; and
- improve the performance and functionality of the Services.
For the avoidance of doubt, we will not use your Customer Data to train our foundational artificial intelligence models.
7.3 Responsibility for Customer Data
You are solely responsible for Customer Data and for ensuring that you have all necessary rights, permissions, and legal bases to provide it to us and to use it with the Services.
7.4 Usage data
We may collect and use technical logs, product usage information, analytics, and performance data relating to your use of the Services. We may use this information for security, billing, support, product development, analytics, and service improvement. Where disclosed externally, it will be disclosed only in aggregated and/or de-identified form unless otherwise permitted by law.
8. Privacy and data protection
Our collection and use of personal data are governed by our Privacy Policy. Where applicable, we process personal data in accordance with relevant data protection law. If needed for your use of the Services, we may enter into a separate data processing agreement with you.
9. Confidentiality
Each party may receive non-public information from the other that is confidential by nature or marked as confidential (“Confidential Information”).
Each party agrees to:
- use the other party’s Confidential Information only as needed to perform or receive the Services;
- protect it using reasonable care; and
- not disclose it to third parties except to employees, contractors, advisers, or service providers who need to know it and who are subject to appropriate confidentiality obligations.
Confidential Information does not include information that:
- is or becomes public other than through breach of these Terms;
- was already lawfully known by the receiving party;
- is lawfully received from a third party without restriction; or
- is independently developed without use of the disclosing party’s Confidential Information.
A party may disclose Confidential Information where required by law, regulation, court order, or competent authority.
10. Intellectual property
10.1 Our rights
We and our licensors own all rights, title, and interest in and to the Services, including all software, designs, workflows, interfaces, documentation, branding, models, methodologies, and related intellectual property rights.
10.2 Limited licence
Subject to these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term for your internal lawful purposes.
10.3 Feedback
If you provide suggestions, ideas, or feedback about the Services, we may use them without restriction or compensation to you.
10.4 Output
Subject to your compliance with these Terms, you may use outputs generated for your account for your internal business or personal purposes. This does not transfer any ownership in the underlying Services, software, models, or our pre-existing intellectual property.
11. Third-party services and integrations
The Services may interoperate with or rely on third-party services, including AI model providers, analytics tools, search platforms, and integrations. Your use of third-party services may also be subject to those third parties’ terms and policies. We are not responsible for third-party services, including their availability, security, functionality, pricing, or data practices.
If a third-party provider changes, limits, or withdraws functionality necessary to part of our Services, we may modify the affected feature accordingly.
12. Fees, billing, and payment
12.1 Fees
You agree to pay all applicable fees for the plan, subscription, or services you purchase. Unless stated otherwise, fees are exclusive of VAT and any applicable taxes.
12.2 Billing
Subscriptions may be billed monthly, annually, or on another agreed basis, in advance. By providing a payment method, you authorise us or our payment processor to charge the applicable fees.
12.3 Renewals
Unless otherwise stated, paid subscriptions renew automatically for successive periods equal to the initial subscription term unless cancelled before renewal.
12.4 Late payment
If payment is overdue, we may suspend access to the Services and charge interest or recovery costs to the extent permitted by law.
12.5 Refunds
Except where required by applicable law, all fees are non-refundable. If you cancel your subscription, cancellation takes effect immediately. No refunds, credits, or prorated reimbursements will be given for any unused portion of a subscription term.
12.6 Free trials and promotions
We may offer free trials, discounts, credits, or promotional pricing from time to time. Free trials are available only to eligible new users unless we expressly state otherwise. If you begin a free trial and provide a valid payment method, your paid subscription may begin automatically at the end of the trial period unless you cancel before the trial ends. Any discount, credit, or promotional offer may be modified or withdrawn by us at any time, but changes will not affect any period already paid for.
13. Availability, maintenance, onboarding, and support
We will use reasonable care and skill to provide the Services, but we do not guarantee uninterrupted, secure, or error-free availability unless explicitly agreed otherwise. Service Level Agreements (SLAs) and specific uptime guarantees, if applicable to your subscription plan, will be set out in a separate Order Form.
We may temporarily suspend or restrict access to the Services for maintenance, upgrades, security issues, legal compliance, non-payment, or misuse. Certain plans may include onboarding, implementation assistance, customer support, or other service features. Any such inclusions will be as described on the applicable pricing page, order form, or within the Services.
14. Term and termination
14.1 Term
These Terms start when you first access or use the Services and continue for as long as you use the Services or maintain a subscription.
14.2 Termination by you
You may cancel your subscription at any time through your account or by contacting us at hello@mentionpath.ai. Cancellation takes effect immediately. Except where required by law, cancellation does not entitle you to any refund, credit, or prorated reimbursement for fees already paid.
14.3 Termination or discontinuation by us
We may suspend or terminate your access to the Services immediately if:
- you materially breach these Terms;
- you fail to pay fees when due;
- your use of the Services creates legal, regulatory, or security risk; or
- we are required to do so by law.
We may also discontinue the Services, or any part of them, for commercial, legal, or technical reasons on reasonable notice. Where reasonably practicable, we may choose not to accept new subscriptions or renewals and may allow existing paid subscription terms to continue until the end of their then-current term.
14.4 Effect of termination
On termination:
- your right to use the Services ends;
- any unpaid fees become due;
- we may disable or delete your account and Customer Data after a reasonable retention period; and
- provisions that should survive termination will continue to apply.
We may offer limited export functionality for Customer Data, subject to the features available in the product and our retention policies.
15. Warranties and disclaimers
We warrant that we will provide the Services with reasonable care and skill.
Except as expressly set out in these Terms, the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all implied warranties, conditions, and representations, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
In particular, we do not warrant that:
- the Services will always be uninterrupted, secure, or error-free;
- outputs will be accurate, complete, or fit for your purposes;
- use of the Services will achieve any specific ranking, SEO, AEO, GEO, traffic, citation, or business outcome; or
- third-party integrations or dependencies will remain available.
16. Limitation of liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to that:
- we will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary loss or damage;
- we will not be liable for any loss of profits, revenue, business, goodwill, anticipated savings, or data;
- we will not be liable for issues caused by third-party providers or services outside our reasonable control; and
- our total aggregate liability arising out of or in connection with the Services or these Terms will not exceed the total fees paid by you to us for the Services in the twelve months immediately preceding the event giving rise to the claim.
17. Indemnity
You agree to indemnify and hold harmless Mentionpath and its officers, employees, contractors, and affiliates against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:
- your Customer Data;
- your use of the Services in breach of these Terms;
- your infringement of any third-party rights;
- your unlawful or misleading use of any output from the Services; or
- your upload, submission, or processing of personally identifiable information (PII) or regulated data in violation of applicable data protection laws (including the UK GDPR).
18. Publicity
We may use your name, logo, trademarks, and branding on our website, customer lists, and promotional materials to identify you as a customer of Mentionpath. You may opt out of this at any time by providing written notice to hello@mentionpath.ai, after which we will promptly remove your branding from future public materials.
19. Changes to these Terms
We may update these Terms from time to time.
If we make a material change, we will take reasonable steps to notify users, such as by posting the updated Terms on our website, updating the “Last updated” date, or sending an email where appropriate.
Your continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.
20. General
20.1 Entire agreement
These Terms, together with any order form, plan details, Privacy Policy, Cookie Policy, and any documents expressly incorporated by reference, form the entire agreement between you and us relating to the Services.
20.2 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a corporate reorganisation, merger, acquisition, sale of assets, or within our group of companies.
20.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
20.4 Waiver
A failure or delay in enforcing any provision of these Terms does not amount to a waiver of that provision.
20.5 No partnership or agency
Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between the parties.
20.6 Notices
Any notices under these Terms should be sent to hello@mentionpath.ai or to the email address associated with your account, as applicable.
20.7 Governing law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.
20.8 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Services.
